INTERNET SERVICES AGREEMENT

General Service Terms

CSMicro Systems, a Nevada Corporation
doing business under the name of RaptorHost™, (from
herein referred to as 'RaptorHost') furnishes to the
Customer, Internet Hosting Service as specified in the Service
Agreement under section 'Service Description'. Use of RaptorHost's
Services by Customer constitutes Customer's acceptance of the
entire Service Agreement including the General Service Terms.
RaptorHost may revise the 'General Service Terms' by placing
the revised version of the General service Terms on its website
at: http://www.raptorhost.com/Terms.html.
Customer understands that RaptorHost provides
its services to the Customer on an initial term based on the
contract length selected on the signup form. After the initial
term the service continues on a month-to-month basis. RaptorHost
or Customer may cancel services subscribed under this Service
Agreement at any time by giving the other party thirty days'
advance notice. Early cancellation of service after the initial
thirty day risk free trial period is subject to a $50.00 early
cancellation fee.
RaptorHost does not make any representation of the suitability
of the services for any specific purpose. RaptorHost will not
be liable for any interruption of service outside RaptorHost's
control. Services may be temporarily unavailable due to scheduled
maintenance or for other reasons.
Customer may not use the server or any of
RaptorHost's services in violation of any local, state, US Federal
or international laws. All content hosted or posted on RaptorHost
servers must be legal within appropriate jurisdiction. Customer
shall refrain from and prevent all network abuses including Mail
Abuse and Usenet news abuse occurring on/from the Customers account.
The RaptorHost services may not be used for generating
Unsolicited Commercial Email (SPAM Mail). The RaptorHost servers
are to not be used to host any resources advertised
by any SPAM Mail or for receiving any type of responses generated
by such SPAM mail.
Customer must have ownership of appropriate
license to use any software or components installed by Customer
and or used on/by the server. In addition, customer hereby accepts
full responsibility for monitoring and controlling the usage
of software licenses provided by RaptorHost as part of this Service
Order such as Application Software within
its license limitations. Customer agrees to bear the cost of
any claims arising out of misuse or unauthorized use of Software
licenses on the server, supplied by RaptorHost or
not. Customer agree to hold harmless RaptorHost,
its subsidiaries, divisions, its officers, employees, vendors,
suppliers and all related parties from any and all claims arising
out of damages caused to anyone by Customer's actions.
Payments are due in advance on or before
the Invoice due date. If the invoice payment of any term
is not received in our office by the 5th calendar day of the
invoice due date, RaptorHost may assess a late fee of 10%
of the amount due. If the payment is not received by the 10th
day of the invoice due date, RaptorHost may also interrupt
services subscribed under this agreement without notice. If the
Service is interrupted, then there will be a $30.00 Service re-instatement
fee imposed per network connection, which shall be due along
with the late fees and past due amounts prior to reinstatement
of service.
Customer shall be responsible for monitoring
the data transfer and bandwidth usage. RaptorHost will bill customer
monthly for any Network Bandwidth Usage in excess of customer's
pre-paid Bandwidth Allocation per this service agreement. Network
Bandwidth usage is calculated by log files generated for Customers
account. If customer's
bandwidth usage at any time substantially increases above the
pre-paid amount, RaptorHost may at its discretion, require the
customer to make an interim payment to cover the additional usage
prior to the next billing cycle.
Services subscribed under this agreement
may be interrupted or terminated without any advance notice for
illegal use of the services provided by RaptorHost, violation
of TOS, AUP or for payment delinquency.
Any disputes arising out of this agreement,
which cannot be settled by mutual agreement by Customer and RaptorHost,
shall be settled by binding arbitration in Carson City,
under the rules of American Arbitration Association. RaptorHost's
liability of any claims arising out this service agreement under
any circumstances shall not exceed the actual fees paid to RaptorHost
by Customer.
Terms and conditions outlined in this Service Order form constitutes
the final terms and conditions of the service and shall supersede
all previous agreements verbal or written.
